These terms govern your use of Webfixstore's website and services. Please read them carefully before engaging with us.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Webfixstore, a software development and SaaS company based in Chennai, Tamil Nadu, India. These Terms apply to all visitors, clients, and users of our website and services.
1. Acceptance of Terms
By accessing our website, engaging our services, or purchasing any of our SaaS products, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our website or services.
2. Services Provided
Webfixstore provides custom software development, website development, digital marketing services, and SaaS products including E-Commerce Platform, POS Billing Software, CRM Software, Lead Management System, and Ticketing Tool. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW), Service Agreement, or Order Form agreed upon between the parties.
3. Client Obligations
As a client, you agree to: • Provide accurate, complete, and timely information required for project delivery • Designate a primary point of contact with authority to make decisions • Review and provide feedback on deliverables within agreed timelines • Ensure you have the rights to all content, assets, and materials you provide to us • Pay all fees in accordance with the agreed payment schedule • Not use our services for any unlawful, harmful, or fraudulent purpose
4. Intellectual Property
Upon receipt of full payment, Webfixstore assigns to the client all intellectual property rights in custom-developed software and deliverables created specifically for that client under a project agreement, except for: • Pre-existing Webfixstore tools, frameworks, libraries, and methodologies • Third-party open-source components (governed by their respective licences) • General know-how and skills developed during the engagement For SaaS products, Webfixstore retains all intellectual property rights. Clients are granted a non-exclusive, non-transferable licence to use the SaaS product for the duration of their subscription.
5. Payment Terms
Payment terms are specified in the individual project agreement or subscription plan. General terms include: • Custom projects typically require a deposit before work commences, with milestone-based payments • SaaS subscriptions are billed monthly or annually in advance • All prices are in Indian Rupees (INR) unless otherwise stated • Invoices are due within 7 days of issuance unless otherwise agreed • Late payments may attract interest at 1.5% per month on the outstanding balance • Webfixstore reserves the right to suspend services for accounts with overdue payments
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement, including business strategies, technical specifications, pricing, and client data. This obligation survives termination of the agreement for a period of 3 years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Warranties and Representations
Webfixstore warrants that: • Services will be performed with reasonable skill and care by qualified professionals • Deliverables will materially conform to the agreed specifications • We have the right to provide the services and grant the licences described herein We do not warrant that our services will be uninterrupted or error-free, or that any specific business outcomes will be achieved. SaaS products are provided "as is" with commercially reasonable uptime targets specified in the applicable service level agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Webfixstore's total liability to you for any claims arising from or related to these terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim. In no event shall Webfixstore be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless Webfixstore and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these terms; (b) your use of our services in violation of applicable law; (c) any content or materials you provide to us that infringe third-party rights.
10. Termination
Either party may terminate a project agreement or subscription with written notice as specified in the applicable agreement. Upon termination: • You remain liable for all fees incurred up to the termination date • Webfixstore will provide you with a copy of completed deliverables paid for • Each party will return or destroy the other's confidential information • Clauses relating to IP, confidentiality, payment, and liability survive termination
11. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of India. Any disputes arising from or related to these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Chennai, Tamil Nadu. The courts of Chennai shall have exclusive jurisdiction for any matters not subject to arbitration.
12. Amendments
Webfixstore reserves the right to update these Terms and Conditions at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of our services after such changes constitutes acceptance of the revised terms.
